Hardik joined this deal from the very first client conversation. A company in the facility management space approached Proficio with a clear brief: find an acquisition target in the 20 to 30 crore revenue range, use it to cross the 250 crore revenue mark, and position the combined entity for an eventual exit. His job was to make that happen.
He started by screening the market for acquisition targets whose promoters would be open to selling at a five-to-ten times EBITDA multiple. He reached out directly to those promoters, had the conversations, and qualified their interest. This was not a warm list handed to him; he built it from scratch.
Once a shortlist was in place, he built the financial model and the pitch deck for the transaction. He then circulated both documents in the market, keeping options open in case the original buyer did not proceed. The buyer did proceed, and Hardik coordinated the initial meeting between the two parties.
When the buyer and seller decided to move forward, due diligence began. Hardik drafted the mandate and the memorandum of understanding, working through the points each side brought to the table and finding common ground. The company secretary took over the formal legal documentation from that point, but the inputs and the deal structure were his.
The deal closed at an eight-times EBITDA multiple in approximately two and a half to three months from the first client conversation.
